Terms of Service & Licence

These Terms of Service ("Terms") are a binding agreement between you and [Legal entity name] ("Journaly", "we", "us") governing your use of the Journaly app and related services (the "Service"). By downloading, accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and your account

You must be at least [13 / 16 / 18, per your market] to use the Service, and old enough to form a binding contract where you live. You are responsible for your account and for keeping your login credentials secure. Provide accurate information when you register, and tell us promptly at hello@journalyai.app if you believe your account has been accessed without your permission.

2. The Service

Journaly provides guided journaling, a mood map, a planner, goals, gratitude, guided exercises, a dream journal, letters to your future self, and an AI companion you can write or speak with. We may add, change, or remove features, and we may occasionally suspend the Service for maintenance or for reasons outside our control. We aim to give reasonable notice of significant changes where we can.

3. Your content and licence to us

Everything you write in Journaly ("Your Content") belongs to you. We do not claim ownership of your journal.

To operate the Service, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, back up, process and display Your Content solely to provide the Service to you, including letting the companion reflect on your entries as described in our Privacy Policy. This licence exists only so the app can function; it does not permit us to use Your Content for advertising or to train foundation models without your separate, explicit consent, and it ends when you delete the content or your account (except for limited legal retention and residual backups).

You are responsible for Your Content and confirm you have the right to submit it.

4. Acceptable use

Please use the Service lawfully and as intended. You agree not to:

• break, disrupt, overload, or attempt to gain unauthorised access to the Service or its systems;
• reverse engineer, decompile, or attempt to extract source code, except where the law expressly permits it;
• use the Service to store or share unlawful content, or to harass, harm or infringe the rights of others;
• use automated means to scrape or copy the Service, or resell or commercially exploit it without our permission;
• misuse the AI companion to generate unlawful, harmful, or infringing material.

5. The AI companion, and what it is not

The companion generates responses using artificial intelligence. It can be wrong, incomplete, or unsuitable for your situation, and its output should not be treated as fact or as professional advice. Journaly is not a medical device, a licensed therapist or counsellor, a doctor, a lawyer, or a financial adviser, and the Service does not provide medical, psychological, legal or financial advice or diagnosis. Any reflective "insights", prompts, or (for the optional astrology feature) star-sign or moon-phase suggestions are for self-reflection only and are not predictions or professional guidance. Always use your own judgement and seek a qualified professional for decisions that matter.

7. Subscriptions, billing and cancellation

Journaly offers a free tier and a paid subscription, Journaly Premium. Prices, billing periods and what is included are shown in the app before you purchase.

• Payment. Paid subscriptions are sold and billed through your Apple App Store account, subject to Apple's terms and privacy policy. We do not receive your full payment-card details.
• Auto-renewal. Subscriptions renew automatically at the then-current price for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• Managing and cancelling. You manage or cancel your subscription in your Apple ID account settings. Deleting the app does not cancel a subscription.
• Free trials. If a free trial is offered, any unused portion is forfeited when you buy a subscription. Cancel before the trial ends to avoid being charged.
• Price changes. We may change prices; changes apply to future billing periods and, where required, we will notify you and seek consent in line with Apple's rules.
• Refunds. Purchases are handled by Apple, so refund requests are managed by Apple under its policies, except where your local law grants you additional non-waivable rights.

8. Our intellectual property

The Service, including its software, design, text, graphics, companion personalities, and brand, is owned by Journaly or our licensors and is protected by intellectual-property laws. We grant you a personal, limited, non-transferable, revocable licence to use the Service for your own personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

9. Third-party services

The Service relies on third parties, including Apple (distribution and payments), cloud hosting, and AI providers. Your use of the App Store is governed by Apple's terms. We are not responsible for third-party services we do not control, though we choose our providers with care.

10. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially or repeatedly breach these Terms, if required by law, or to protect the Service or its users. On termination, the licences you granted end (subject to residual backups and legal retention), and sections that by their nature should survive will survive.

11. Disclaimers

Except where the law says otherwise, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or suitable. Nothing in these Terms excludes rights that cannot be excluded under the law that applies to you, including any statutory consumer rights.

12. Limitation of liability

To the fullest extent permitted by law, Journaly and its officers, employees and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of data, profits, or goodwill, arising from or related to your use of the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the [12] months before the claim or [US$50]. Some jurisdictions do not allow certain limitations, so some of these may not apply to you, and nothing here limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.

13. Indemnity

To the extent permitted by law, you agree to indemnify and hold Journaly harmless from claims and costs arising out of your misuse of the Service or your breach of these Terms, except to the extent caused by us.

14. Governing law and disputes

These Terms are governed by the laws of [jurisdiction], without regard to conflict-of-laws rules, and the courts of [jurisdiction] will have exclusive jurisdiction, except where mandatory local consumer law gives you the right to bring proceedings in your own country. 16. Apple App Store licence terms

These terms apply when you download Journaly from the Apple App Store, in addition to the rest of these Terms. In the event of a conflict, these Apple terms control for the App Store version of the app.

• Acknowledgement. These Terms are between you and Journaly only, not with Apple. Apple is not responsible for the Service or its content.
• Scope of licence. Your licence is limited to a non-transferable licence to use the app on any Apple-branded devices you own or control, as permitted by the App Store Usage Rules, except that the app may be accessed by other accounts via Family Sharing where enabled.
• Maintenance and support. Journaly is solely responsible for providing any maintenance and support for the app; Apple has no obligation to do so.
• Warranty. Journaly is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation for the app.
• Product claims. Journaly, not Apple, is responsible for addressing any claims relating to the app, including product-liability, legal or regulatory claims, and claims that the app fails to conform to legal or regulatory requirements.
• Intellectual property. In the event of a third-party claim that the app infringes intellectual-property rights, Journaly, not Apple, is responsible for the investigation, defence, settlement and discharge of that claim.
• Legal compliance. You represent that you are not located in a country subject to a US Government embargo or designated as "terrorist-supporting", and that you are not on any US Government restricted-parties list.
• Developer contact. Questions, complaints or claims about the app should be directed to hello@journalyai.app / [Legal entity name and address].
• Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
